AGM. Annual General Meeting then Caretaking

Please come and join an Autumn Open Assembly / AGM for the Star and Shadow Cinema Coop from 6pm-9.30pm on Monday 03 October.
 
All are welcome - whether you have volunteered for a long time or if you have only just started volunteering.
 
The core elements will be:
  • AGM (6pm-7pm)
  • Special Resolutions x2 - see below
  • Eating food together (7pm-8pm)
  • SWOT analysis (strengths, weaknesses, opportunities, threats) analysis of Star and Shadow (8pm-9.30pm)
  • A chance to become a shareholding 'cooperative member' of Star and Shadow Cinema Coop and update of the Membership Register.
It would be great if as many of us volunteers could come together as possible for our AGM, because it offers a window into how the organisation functions over the year. We will be making some vegan food for the occasion, and can then move onto a facilitated session looking at what is working well at S&S and also what we feel needs to change.

AGM:
  • Approve minutes of previous AGM
  • Approve annual accounts for 2021-2022
  • Approve the annual social audit for 2021-2022
  • Current directors/stewards stand down and election of Board of Stewards for 2022-2023.
  • Elect a secretary
  • Elect a treasurer
  • Read out members of various working groups
 
 
 
SWOT Analysis:
  • In previous years, volunteers have had a chance to come together to review and reflect on how things are going at Star and Shadow Cinema. We haven't done this for a while since the pandemic, but its a great exercise which helps us share feelings both positive and critical about the state of our collective project. We will use the SWOT analysis technique in a facilitated process, looking at our strengths and weaknesses, followed by opportunities for development and threats to those opportunities. 
 
 
Special Resolutions:
  • Our Governing Document requires us to appoint a qualified and independent Auditor to undertake a full financial audit of our accounts and balance sheet for the financial year. This is expensive and we can avoid it with a Special Resolution.

We are allowed use a Special Resolution to dis-apply the full audit requirement stated in our Governing Document as follows:

Under section 84 of the Co-operative and Community Benefit Societies Act we are defined as a “small society” because

a) the total value of its assets at the end of the preceding year of account did not exceed £2,800,000, and

b) its turnover for that preceding year did not exceed £5,600,000.

And “small societies” are exempt from undertaking a full audit of their accounts

Our accounts will remain subject to the scrutiny of Coop members at the AGM and willbe filed with the Financial Conduct Authority for their oversight under the Co-operative and Community Benefit Societies Act 2014. We will be attaching an auditor's letter to the accounts however as our income was above £90k the previous year.

We have appointed Read Milburn to carry out this legal requirement

The special resolution proposal is that we:

Dis-apply the full accountancy audit requirement
  • We are also required under our Governing Document to produce Social Accounts.

Clause 7.3 states that we should hire a qualified, independent social auditor unless the general meeting agrees to appointing a lay social auditor. The Finance collective would prefer not to pay for the qualified social auditor and will ask members at the meeting to agree to a lay volunteer social auditor.

The special resolution proposal is that we:

Appoint a lay social auditor as opposed to a professional social auditor.

 
 

Cooperative Membership

Star and Shadow Cinema is owned and run by its cooperative members, alongside volunteer members and cinema/venue members (those that frequent events at the S&S). Cooperative Membership deepens a volunteer's stake in and ownership of the organisation. in the instance of exceptional situations that cannot be resolved through consensus, it also gives Cooperative Members a proportionally greater weight in voting. Membership forms are available on request (please send an email to info@staranshadow.org.uk). Please print out and fill in your membership form and bring it to the meeting. There will also be some availbale at the meeting. You will be entered onto a register of members. Cooperative Membership is valid for the lifetime of the Society, in line with the membership policy in The Rules.
